On January 17, 2006, Ormat announced that it has filed a universal shelf registration statement on Form S-3 with the Securities and Exchange Commission. Since filing the shelf registration statement, Ormat has completed the sale of 12,625,000 shares of common stock in a follow on offering completed in 2006 and three additional block trade completed in 2006, 2007 and 2008 (this amount includes underwriters’ over-allotment, in a follow-on offering on April 2006) On September 17, 2008, Ormat filed a universal shelf registration statement on Form S-3, which was declared effective by the SEC on October 2, 2008. The shelf registration statement allow Ormat to issue various types of securities in registered offerings from time to time for a period of three years, in one or more offerings up to a total dollar amount of $1.5 billion.
